Account Security

You are responsible for safeguarding your password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

4. Platform Services and Usage Rights

License to Use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Platform and Services for their intended purposes.

Business User Services

Business Users may create profiles, list services, manage bookings, and connect with AI Assistants through the Platform. All business information must be accurate and up-to-date.

Restrictions

You agree not to:

• Use the Platform in any way that violates applicable laws or regulations
• Impersonate any person or entity
• Engage in any activity that interferes with or disrupts the Platform
• Attempt to gain unauthorized access to the Platform or related systems
• Use the Platform to transmit any viruses or other harmful code
• Reverse engineer, decompile, or disassemble any portion of the Platform
• Use data mining, robots, or similar data gathering methods

5. Business User Terms

Service Listings

Business Users are responsible for the accuracy and completeness of all service listings, pricing, and availability information provided on the Platform.

Booking Fulfillment

Business Users agree to honor all bookings made through the Platform according to the terms specified in their listings. Cancellations and modifications must follow the policies established by the Business User and communicated through the Platform.

Reviews and Ratings

Business Users may receive reviews and ratings from users. We reserve the right to display these reviews on the Platform. Business Users agree not to manipulate or falsify reviews.

Compliance with Laws

Business Users are responsible for complying with all applicable laws and regulations related to their services, including but not limited to licensing requirements, tax obligations, and consumer protection laws.

6. Fees and Payment Terms

Platform Fees

We charge fees for various Services provided through the Platform. Current fee structures are available on our pricing page. We reserve the right to change our fees at any time with notice to users.

Payment Processing

Payments are processed through third-party payment processors. By using the Platform, you agree to the terms and conditions of these payment processors.

Business User Payouts

Business Users will receive payouts for completed bookings according to the payment schedule specified in their account settings, less applicable Platform fees and payment processing fees.

Taxes

Users are responsible for all applicable taxes related to their use of the Platform. Business Users are responsible for determining, collecting, and remitting any applicable taxes on their services.

7. Content and Intellectual Property

Platform Content

The Platform and its original content, features, and functionality are owned by Middleverse.ai and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

User Content

By posting Content on the Platform, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, and distribute it in connection with the Platform and our business operations.

Content Restrictions

You may not post Content that is illegal, fraudulent, deceptive, obscene, threatening, defamatory, invasive of privacy, infringing of intellectual property rights, or otherwise harmful or objectionable.

AI Assistant Integrations

The Platform integrates with various third-party AI Assistants to facilitate bookings and transactions. We are not responsible for the actions, content, or policies of these third-party services.

Business Users may access our API according to our API Terms of Use. We reserve the right to modify or discontinue API access at any time.

The Platform may contain links to third-party websites or services. We are not responsible for the content or practices of any third-party websites or services linked to from our Platform.

9. Privacy and Data Protection

10. Disclaimers and Limitations of Liability

Business Service Disclaimers

Middleverse.ai does not guarantee the quality, safety, suitability, or legality of any services offered by Business Users. Users are responsible for verifying the credentials and quality of any service provider before making a booking.

Limitation of Liability

IN NO EVENT SHALL MIDDLEVERSE.AI, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE PLATFORM.

11. Indemnification

You agree to defend, indemnify, and hold harmless Middleverse.ai, its officers, directors, employees, and agents, from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of the Platform or your violation of these Terms.

12. Term and Termination

These Terms constitute the entire agreement between you and Middleverse.ai regarding the Platform and supersede all prior and contemporaneous written or oral agreements.

Waiver and Severability

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in effect.

Assignment

You may not assign any of your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without your consent.
